1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Jayasuryan Salim Kumar, a sole proprietor doing business as JobNook ("JobNook," "we," "us," "our"), concerning your access to and use of the JobNook website and web application (the "Services").
By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of Services
JobNook is a software-as-a-service (SaaS) business management application for independent trade contractors, providing tools for customer management, job scheduling, quotes, invoicing, and online payment processing. The Services are intended for internal business use by contractors and are not intended for personal or consumer use.
3. Eligibility
The Services are not directed to, and may not be used by, individuals under the age of 18. By using the Services, you represent that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent.
4. Accounts
To use most features of the Services, you must register for an account using an email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date via your account settings.
You may not sell, transfer, or otherwise assign your account to another person or entity without our consent.
5. Subscriptions and Billing
5.1 Plans
JobNook offers a Free plan and paid subscription plans (Starter and Pro), billed monthly in U.S. dollars via our third-party payment processor, Stripe. Current pricing is displayed on our pricing page and may change with notice as described in Section 15.
5.2 Payment Methods
We accept payment via major credit/debit cards (Visa, Mastercard, American Express, Discover) processed through Stripe. We do not directly store your full card details.
5.3 Auto-Renewal
Paid subscriptions automatically renew monthly unless canceled before the renewal date. You may cancel at any time by logging into your account and using the billing management portal.
5.4 Plan Changes
If you upgrade between paid plans, the change and associated billing adjustment take effect immediately, with any prorated credit applied to your account balance and used against future invoices. If you downgrade to a lower paid plan or cancel to the Free plan, you retain access to your prior plan's features until the end of the billing period you already paid for; the change then takes effect at renewal.
5.5 No Refunds
All payments are non-refundable. We do not provide cash refunds to your original payment method for any subscription fees already paid; we may, at our discretion, apply prorated account credit as described in Section 5.4.
5.6 Free Plan Limits
The Free plan is subject to usage limits (including, but not limited to, monthly limits on new jobs and customers, and restrictions on PDF export, online payment links, and other features) as described within the Services. These limits may change from time to time.
6. User Content
You retain ownership of any content you upload to the Services, including but not limited to job photographs, business logos, customer information, and other business records ("User Content"). You grant us a limited license to host, store, and display your User Content solely for the purpose of providing the Services to you.
You are solely responsible for your User Content and represent that you have the right to upload it and that it does not violate any third party's rights.
7. Prohibited Activities
You agree not to:
- Sell, rent, lease, or otherwise transfer your account or profile to another party;
- Use the Services for any unlawful purpose or in violation of these Terms;
- Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
- Interfere with or disrupt the integrity or performance of the Services;
- Use the Services to transmit any harmful code, virus, or malicious software.
8. Third-Party Links and Services
The Services may link to or integrate with third-party websites and services, including Stripe (payment processing), Supabase (data storage/authentication), Resend (email delivery), and Vercel (hosting). We do not control and are not responsible for the content, policies, or practices of any third-party service. Your use of such third-party services is subject to their own terms and privacy policies.
9. Intellectual Property
The Services, including all software, design, text, graphics, logos, and the JobNook name and branding, are owned by us and are protected by intellectual property laws. Except for your own User Content, you may not copy, modify, distribute, or create derivative works based on the Services without our written permission.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. You may terminate your account at any time by canceling your subscription and discontinuing use of the Services.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
13. Time Limitation on Claims
Any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be permanently barred.
14. Dispute Resolution
14.1 Informal Negotiations
In the event of a dispute, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days before initiating arbitration.
14.2 Binding Arbitration
If informal negotiations fail, any dispute shall be resolved by binding arbitration conducted in Travis County, Texas, United States, rather than in court, except that either party may seek relief in small claims court. If arbitration fees are deemed excessive, we agree to pay them. Should any dispute proceed in court rather than arbitration, such litigation shall take place in Texas.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email to the address associated with your account. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law principles.
